Position Overview: As a Company Secretary for the Professional Football League, you will be responsible for providing high-level administrative and governance support to the League’s board of directors and executive team. You will ensure compliance with legal and regulatory requirements, facilitate effective communication, and maintain accurate corporate records. Your role will play a vital part in ensuring transparency, good governance practices, and adherence to relevant laws and regulations.

Key Responsibilities:

  1. Corporate Governance:
  • Serve as the primary point of contact for the board of directors, facilitating board meetings, preparing agendas, and distributing board materials.
  • Ensure compliance with corporate governance principles, regulations, and best practices.
  • Keep abreast of changes in corporate governance regulations and advise the executive team and board members on their implications.
  1. Board Support and Communication:
  • Provide administrative support to the board of directors, including scheduling meetings, preparing meeting minutes, and managing board communications.
  • Coordinate with board committees and working groups, facilitating their activities and ensuring timely completion of assigned tasks.
  • Assist in the onboarding and orientation of new board members, ensuring they are equipped with the necessary information and resources.
  1. Corporate Compliance and Legal Matters:
  • Ensure compliance with relevant laws, regulations, and internal policies.
  • Monitor changes in legislation and regulations, assessing their impact on the League’s operations and advising on necessary actions.
  • Coordinate with legal counsel on legal matters, contracts, and agreements, ensuring accurate documentation and timely execution.
  1. Records and Documentation:
  • Maintain accurate corporate records, including board minutes, resolutions, and company registers.
  • Manage the League’s official documents, contracts, and legal filings, ensuring their accessibility and confidentiality.
  • Coordinate the drafting, review, and execution of legal documents and agreements.
  1. Shareholder Relations:
  • Assist in managing relationships with the League’s stakeholders, including shareholders, partners, and investors.
  • Facilitate the distribution of information to shareholders, ensuring timely and accurate communication.
  • Coordinate shareholder meetings and proxy voting processes.
  1. Regulatory and Statutory Compliance:
  • Ensure compliance with applicable regulatory requirements, including reporting obligations, licenses, and permits.
  • Monitor changes in relevant laws and regulations, advising the executive team on necessary compliance measures.
  • Prepare and file necessary reports with regulatory bodies.
  1. Risk Management:
  • Collaborate with the executive team to identify and assess potential risks to the League’s operations.
  • Assist in the development and implementation of risk management strategies and policies.
  • Maintain records of risk assessments and mitigation plans.
  1. Ethics and Code of Conduct:
  • Promote and enforce the League’s code of conduct and ethics policies.
  • Provide guidance to employees on ethical matters and potential conflicts of interest.
  • Coordinate ethics training programs and ensure awareness of ethical standards across the organization.

Qualifications:

  • Bachelor’s degree in business administration, law, or a related field. Additional legal qualifications are preferred.
  • Proven experience as a company secretary or in a similar governance role.
  • Strong knowledge of corporate governance principles, regulations, and best practices.
  • Familiarity with legal and regulatory requirements relevant to the sports industry.
  • Excellent organizational and time-management skills.
  • Strong written and verbal communication abilities.
  • Attention to detail and accuracy in record-keeping.
  • Discretion and confidentiality in handling sensitive information.
